Yuimaru Trust Charter
Yuimaru is a private circle of independent ITSPs (IT Service Providers — MSPs, integrators, managed service firms). Trust between members is the condition of its proper functioning. In joining the circle, every company commits to respecting the principles below.
1. The client belongs to the company that brought them in
No member may, directly or indirectly, solicit, poach or attempt to take over a client of another member discovered through Yuimaru (introduction, shared opportunity, mutual-aid request, private exchange).
Information shared on the platform — client names, technical contexts, opportunities — remains strictly confidential and may only be used for the collaboration at hand.
2. Honest and reciprocal mutual aid
Technical mutual aid (SOS, questions, vendor feedback) is a pillar of the circle. Answers must be sincere, substantiated and offered in good faith.
No invoicing, sales outreach or service pitching is allowed within mutual-aid requests without the author's explicit consent.
3. Honest representation of your company
Each company commits to providing accurate information: legal name, team size, skills, certifications, coverage areas. Every declared certification must be justifiable on request by an administrator.
Fraudulent profiles, undeclared resellers, or structures that don't fit the independent ITSP framework will be refused or removed.
4. Confidentiality of private exchanges
Messaging exchanges and introductions are strictly private. No content (message, contact detail, contract, rate) may be shared outside the framework agreed between the parties.
Sharing opportunities is part of a collaboration logic: commercial terms (margin, finder's fee, subcontracting) are negotiated freely between the companies involved.
5. Prohibited behaviors
- Direct soliciting of another member's clients
- Poaching another member's employees without prior agreement
- Public disclosure of confidential information exchanged on Yuimaru
- Hidden sales prospecting inside mutual-aid requests
- False declaration of skills, certifications or references
- Discriminatory, disparaging or disrespectful language
6. Moderation and sanctions
Yuimaru administrators uphold the charter. Any breach may lead to a warning, a temporary suspension, or permanent exclusion from the circle.
Reports of messages or behaviors are handled confidentially. The final decision rests with the administrators, who may consult the involved parties before any sanction.
